Registering an SRL with the Romanian Trade Register usually takes a few business days, but preparing the documents and structure matters more than the filing time itself.
The short answer: once a complete file is submitted to the Romanian Trade Register, registering an SRL usually takes a few business days. The deadline itself is rarely the problem. What determines real speed is how well the documents are prepared and how clearly the company's operation has been thought through.

What you decide before filing
The administrative deadline matters less than the decisions taken before the file. Before submitting, settle:
- the legal form and shareholder structure;
- the directors, their mandates and signing authority;
- the registered office and the scope of activity;
- how the company will be funded at the start;
- the commercial documents that will be used immediately after registration.
These choices are harder to change later than they look. A structure designed correctly from the start avoids costly amendments in the first months.
The steps and realistic timing
In practice the process has a few stages:
1. Preparing the articles of association and shareholder documents. 2. Reserving the company name and checking availability. 3. Assembling the file and submitting it to the Trade Register. 4. Registration and obtaining the corporate documents.
If the file is complete and coherent, the registration stage is short. Delays almost always come from incomplete documents, unclear mandates or details that do not match how the company will actually operate.
Why "registered" does not mean "ready to operate"
A common mistake is to treat registration as the finish line. In reality, a company also needs clear rules on management, signing authority and the relationship between shareholders, plus its first commercial documents: contracts, supplier and customer terms and, where relevant, personal data documentation.
